1. WHO WE ARE AND WHAT THESE TERMS COVER
These Website Terms of Use ("Website Terms") govern your access to and use of the public websites operated by Percidian AI, Inc., a Delaware corporation ("Percidian," "we," "us," or "our"), including percidian-ai.com, percidian.ai, and related domains and subdomains (together, the "Site"). The Site presents Percidian's products — Percidian ACE, Percidian Gateway, and Percidian Agents — and Percidian as a company.
By accessing or using the Site, you agree to these Website Terms and to our Privacy Policy and Cookie Notice, which are incorporated by reference. If you do not agree, do not use the Site.
Use of Percidian's products and services — including any account, application, API, or portal — is governed separately by the Terms of Service and, for customers, by the order form, product-specific agreement, or Master Services Agreement between Percidian and your organization. In any conflict, that agreement controls as to the products and services it covers. Nothing on the Site creates a customer relationship or a commitment to provide any product or service.
2. USE OF THE SITE
You may browse the Site and use its content for the purpose of learning about Percidian and its products, and for other lawful purposes consistent with these Website Terms. You may not:
- Use the Site in any way that violates applicable law or the rights of others;
- Copy, scrape, crawl, mirror, frame, or systematically download Site content, other than as reasonably necessary to view it, or use automated means to access the Site except through interfaces Percidian provides for that purpose;
- Attempt to gain unauthorized access to the Site, its systems, or the accounts of others, or probe, scan, or test the vulnerability of the Site without written authorization (see the Acceptable Use Policy and the responsible-disclosure route on our Security page);
- Interfere with the operation of the Site, or introduce malicious code;
- Remove, obscure, or alter any copyright, trademark, or other proprietary notice;
- Misrepresent your identity or affiliation, or submit information through the Site's forms that you know to be false;
- Use the Site to send unsolicited communications, or to build a product or service that competes with Percidian using Site content.
Percidian may suspend or block access to the Site for conduct that, in its judgment, violates these Website Terms.
3. INFORMATION SUBMITTED THROUGH THE SITE
Forms on the Site — to request a briefing, contact Percidian, request developer or security materials, subscribe to updates, or express interest in a role — send the information you enter to Percidian so that Percidian can respond. That information is handled as described in the Privacy Policy. Do not submit confidential, privileged, or sensitive information through the Site; Percidian will establish an appropriate channel where an exchange of such information is needed.
If you provide feedback, suggestions, or ideas about the Site or Percidian's products, you grant Percidian a perpetual, irrevocable, worldwide, royalty-free right to use them without obligation to you.
4. CONTENT ON THE SITE
Site content is provided for general information about Percidian and its products. Product descriptions, illustrations, and examples — including any figure, calculation, scenario, or record shown as illustrative — are demonstrations, not representations of a particular customer's results or of any commitment to a specification, feature, or availability. Percidian may change the Site and its content at any time without notice.
Nothing on the Site is legal, financial, tax, investment, medical, or other professional advice, and nothing on the Site is an offer that can be accepted to form a contract.
5. INTELLECTUAL PROPERTY
The Site and its content — text, graphics, logos, icons, images, illustrations, diagrams, audio, video, software, design elements, and their selection and arrangement — are owned by Percidian or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited right to view the Site set out in Section 2, no license or right in the Site or its content is granted to you, by implication or otherwise.
"Percidian," "Percidian AI," "Percidian ACE," "Percidian Gateway," "Percidian Agents," and all related logos, names, product names, designs, and slogans are trademarks of Percidian AI, Inc. You may not use them without Percidian's prior written permission. Other trademarks appearing on the Site are the property of their respective owners, and their appearance does not imply endorsement of or by Percidian.
If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to Percidian's designated agent at legal@percidian-ai.com or the mailing address in Section 10.
6. THIRD-PARTY SITES AND SERVICES
The Site may link to third-party websites and services, including the Trust Center at trust.percidian-ai.com, documentation, booking and consent-management tools, and social networks. Percidian does not control and is not responsible for third-party sites or services, their content, or their privacy practices; a link is provided for convenience and is not an endorsement. Your use of a third-party site or service is governed by its own terms.
7. DISCLAIMERS
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. PERCIDIAN DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
8. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, PERCIDIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, PERCIDIAN'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). These limitations do not apply to liability that cannot be limited under applicable law.
9. GOVERNING LAW, CHANGES, AND GENERAL TERMS
These Website Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute relating to the Site that is not resolved informally will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction.
Percidian may revise these Website Terms from time to time. The "Last Updated" date at the top of this page shows the current version; continued use of the Site after a change means you accept the revised Website Terms. If any provision of these Website Terms is held unenforceable, the remaining provisions remain in effect. Percidian's failure to enforce a provision is not a waiver of it. These Website Terms, with the Privacy Policy and Cookie Notice, are the entire agreement between you and Percidian regarding your use of the Site; they do not amend any product agreement between Percidian and your organization.
